Terms & Conditions
1. Scope of Services
The Company agrees to provide event planning and coordination services as outlined in the specific Service Quote/Contract. Any changes to the scope of work after the signing of this agreement must be confirmed in writing and may be subject to additional fees.
2. Fees and Payment Schedule

Payment Plan: Payments shall be made according to the following schedule: 25% after consultation, 25% at midpoint, balance 1 day before event.

Late Payments: Payments not received by the due date will incur a late fee of 1% per month.

Taxes: All fees are subject to applicable federal and provincial taxes (HST/GST/PST) based on the province where the service is provided.
3. Cancellations and Postponements

Client Cancellation: If the Client cancels the event, the initial deposit is non-refundable. Cancellations made within 10 days of the event will require full payment of the remaining balance.

Postponement: If the event is rescheduled, the Company will make every effort to accommodate the new date. A "Rescheduling Fee" may apply.

Force Majeure: Neither party shall be liable for failure to perform duties due to "Acts of God," including but not limited to pandemics, government lockdowns, natural disasters, or strikes.
4. Vendor Relations

The Company acts as a consultant and coordinator. Contracts with third-party vendors (venues, caterers, florists) are strictly between the Client and the Vendor.

The Company is not responsible for the performance, quality, or "no-shows" of third-party vendors.
5. Liability and Indemnification

Liability: The Company’s total liability for any claim arising out of this agreement shall not exceed the total amount of fees paid by the Client.

Damages: The Client is responsible for any damage caused to the venue or equipment by their guests.

Insurance: It is highly recommended (and sometimes required) that the Client purchase Special Event Liability Insurance (e.g., Party Alcohol Liability).
6. Client Responsibilities

The Client must provide all necessary information, approvals, and "day-of" contact details in a timely manner.

The Client is responsible for obtaining all necessary permits (e.g., SOP - Special Occasion Permits for alcohol in Ontario).
7. Privacy and Image Use (PIPEDA Compliance)

Privacy: We collect and use personal information solely to provide services in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA).

Promotional Use: The Company reserves the right to use photos or videos of the event for promotional purposes (social media, website) unless the Client requests otherwise in writing prior to the event.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada.
